StudioEventFlow Terms of Service

These Terms of Service govern your access to and use of StudioEventFlow ("Service"), operated by Fotoflow, LLC ("Company," "we," "us," or "our"), through studioeventflow.com. By creating an account, accessing, or using the Service, you agree to these Terms.

1. Eligibility and Authority

You represent that you are authorized to enter into this agreement on behalf of your studio or organization. If you are using the Service for a business, school, or studio, that entity is bound by these Terms.

2. The Service

StudioEventFlow is a workflow platform designed to help independent volume photography studios manage operations, including event management, staff management, photo assignment, scheduling, time and attendance, and related workflow activities.

We may update, improve, or modify the Service from time to time.

3. Account Registration

You agree to provide accurate and complete registration information and keep it current. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You must promptly notify us of any unauthorized use of your account.

4. Subscription and Fees

Certain features of the Service may require a paid subscription. By subscribing, you agree to pay all applicable fees for your selected plan.

Unless otherwise stated:

  • subscription fees are billed in advance
  • fees are non-refundable except as required by law or as expressly stated by us
  • we may change pricing upon advance notice
  • failure to pay may result in suspension or termination of access

5. Customer Data

You retain ownership of the data, images, files, staff records, event information, and other content you upload or submit to the Service ("Customer Data").

You grant us a limited, non-exclusive right to host, store, process, transmit, and display Customer Data solely as necessary to provide, maintain, secure, and improve the Service.

You are responsible for:

  • obtaining all necessary rights and permissions for Customer Data
  • ensuring your use of the Service complies with applicable laws, contracts, and privacy obligations
  • the accuracy and legality of Customer Data you upload

6. Privacy and Data Handling

Our collection and use of personal information is described in our Privacy Policy. You acknowledge that you have reviewed the Privacy Policy.

If the Service processes personal data on your behalf, the parties may enter into a separate Data Processing Addendum if needed.

7. Acceptable Use

You agree not to:

  • use the Service for unlawful, harmful, fraudulent, or deceptive purposes
  • upload content you do not have the right to use
  • interfere with or disrupt the Service
  • attempt to gain unauthorized access to the Service or related systems
  • use the Service to store or transmit malicious code
  • copy, resell, reverse engineer, or exploit the Service except as permitted by law

8. School, Student, and Third-Party Data

If you use the Service in connection with schools, students, minors, parents, or staff, you are responsible for ensuring that all required notices, permissions, consents, and contractual authorizations have been obtained.

You agree not to submit data to the Service unless you are authorized to do so.

9. Availability and Support

We will use reasonable efforts to make the Service available, but we do not guarantee uninterrupted or error-free operation. Maintenance, updates, outages, or third-party failures may affect availability.

Any support services provided will be subject to our then-current support practices.

10. Intellectual Property

The Service, including its software, design, branding, and related materials, is owned by Fotoflow, LLC or its licensors and is protected by applicable intellectual property laws.

Except for the limited right to use the Service during your subscription term, no rights are granted to you.

11. Feedback

If you provide suggestions, ideas, or feedback about the Service, we may use them without restriction or obligation to you.

12. Term and Termination

These Terms remain in effect until terminated.

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or if continued access presents legal, security, or operational risk.

Upon termination:

  • your right to use the Service ends
  • we may delete or disable access to Customer Data after a reasonable retention period
  • provisions that should survive termination will survive, including payment obligations, ownership, disclaimers, liability limits, and dispute terms

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOTOFLOW, LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless Fotoflow, LLC from claims, damages, losses, and expenses arising out of your Customer Data, your use of the Service, or your violation of these Terms.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms in the Service, by email, or by other reasonable means. Continued use of the Service after the effective date of revised Terms constitutes acceptance of the revised Terms.

17. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict of law principles.

18. Disputes

Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Geauga County, Ohio, and the parties consent to jurisdiction and venue there, unless otherwise required by law.

19. SMS Communications

StudioEventFlow's workforce coordination features include outbound SMS notifications. These messages are sent only to studio staff (photographers, assistants, contractors) regarding events the recipient is assigned to work. The program is identified as "StudioEventFlow Staff Event Notifications."

Message types. Two categories of SMS may be sent: (1) availability requests when a studio administrator invites you to work an event, containing a tokenized confirm/decline link; (2) event detail notifications (date, time, location, day-of updates) for events you have already accepted.

Opt-in. SMS is opt-in. Receipt of SMS is contingent on you voluntarily entering your mobile phone number into your staff profile within the platform. Adding a phone number constitutes your express consent to receive SMS notifications about events for which you are assigned. You may remove your phone number from your profile at any time to opt out.

Opt-out. Reply STOP to any SMS to immediately opt out of further messages on the responding number. Reply HELP for assistance information.

Frequency. Message frequency varies based on the studio's event activity and your assignment status. Typically a handful of messages per event you are scheduled for.

Rates. Standard message and data rates may apply per your mobile carrier plan.
